13 February 2020

CMS Cameron McKenna Nabarro Olswang in Kyiv is pleased to announce that it has advised TIS Group on the English and Ukrainian law aspects of a joint venture transaction whereby DP World, one of the worlds’ largest port operators, enters Ukraine directly for the first time. As part of the transaction, DP World agreed to acquire control in TIS Container Terminal Ukraine, the deepest and most technologically advanced container terminal in Ukraine’s Black Sea port of Yuzhnyi.

The CMS team was led by Corporate/M&A Partner Tetyana Dovgan and Graham Conlon, Managing Partner of the Kyiv office, and included Vitalii Mainarovych, Diana Pysarenko, Mariana Saienko, Denys Hatseniuk, Olga Belyakova, Nataliya Nakonechna, Mykola Heletiy, Oleksandr Sytnyk, Olga Shenk and Vladyslav Kurylko (all in Kyiv) and Christian Delgado (Amsterdam).

Tetyana Dovgan commented: “We are very proud of our long-standing client to have partnered up with yet another key global player, and are very happy to have advised them on yet another landmark infrastructure transaction in Ukraine that certainly sends a positive signal to foreign investors looking to invest in Ukraine.  This transaction re-confirms our strategic focus on complex M&A deals, and is testament to our unique cross-border transactional capabilities and industry expertise on the ground in Kyiv.”

Graham Conlon commented: “This is the third major joint venture transaction on which we CMS have advised our client in recent times – and certainly one of the highest-profile port infrastructure transactions in Ukraine.”
