CMS Supports NV in Divestiture of Shareholder Structure

Based on an amicable agreement with the majority shareholder of NV, Uniqa and Raiffeisen-Holding NÖ-Wien have sold back their minority stakes in NV. Following the redemption of their shares, Uniqa and Raiffeisen-Holding NÖ-Wien are no longer shareholders of NV. The international law firm CMS advised NV on this corporate law transaction.

NV has redeemed 25.11% of its shares, 11.89% of which were held by Raiffeisen-Holding NÖ-Wien and 13.22% by Uniqa Insurance Group AG. The transaction was approved by the financial market authority.
Johannes Reich-Rohrwig, partner and head of the corporate law and dispute resolution team at CMS Reich-Rohrwig Hainz, provided legal advice throughout this divestiture process. “A great deal of corporate law know-how was required in this transaction in order to optimise the outcome for our client,” the renowned corporate law expert Reich-Rohrwig proudly comments on the completed deal. In this transaction, he cooperated with Bernt Elsner in regulatory/financial market authority matters.
