CMS Vienna Supports NÖ Pressehaus on Restructuring

The corporate structures of the printing and publishing house Niederösterreichisches Pressehaus Druck- und Verlagsges.m.b.H. (NÖ Pressehaus) have recently been changed. CMS Vienna advised Lower Austria’s largest media corporation throughout the entire process of preparing and implementing this reorganisation.

Aiming for a clearer structure and improved offers of both the publishing house and the printing business, a legal separation of the two divisions was realised. The printing business was transferred to a newly founded, fully owned subsidiary, which was registered as NP Druck Ges.m.b.H.

An experienced CMS team made up of corporate and tax law experts advised NÖ Pressehaus on all legal questions and handled the implementation of this future-oriented restructuring process. NÖ Pressehaus’ new optimised corporate structure was devised and designed by Sibylle Novak, partner at CMS Vienna, and her team comprising Anna Wieser, Oliver Werner and Eva-Maria Vögerl, employment law experts Jens Winter, partner at CMS Vienna, Ursula Roberts as well as property law expert Johannes Hysek, also a partner at CMS Vienna. The CMS team further cooperated with Richard Kohlhauser, M&A Treuhand, in questions relating to reorganisation tax, stamp duties and accounting matters.

“Niederösterreichische Nachrichten” (NÖN), the most important news medium of NÖ Pressehaus, will still be published by Niederösterreichisches Pressehaus Druck- und Verlagsges.m.b.H. in the future. With overall 28 local editions, NÖN is read by 527,000  people every week, constituting a reach of 34% in Lower Austria.

It is one of the aims of newly founded NP Druck to further accelerate the very successful commercial development of the printing division. At the moment, 165 staff members generate revenues of about EUR 55 million, ranking NÖ Pressehaus among the leading printing companies in Austria.
