CMS has advised ALPLA on its expansion in South-Eastern Europe

ALPLA, a leading provider of plastic packaging worldwide, has acquired Argo S.A., headquartered in Athens, Greece, with a subsidiary and an additional production site near Bucharest, Romania. International law firm CMS functioned as the lead-counsel for ALPLA on the transaction. Closing of the transaction occurred on 1 October 2018, upon having obtained applicable regulatory and competition approvals. Financial terms of the transaction remain confidential. 

Argo S.A., a specialist in packaging solutions for the pharmaceutical and personal care markets since its foundation 1970 and with currently around 270 employees, mainly produces bottles, cans, dispensers and closures for pharmaceutical products, cosmetics, crop protection and chemicals, as well as for veterinary medicine. Its customers include well-known international and regional companies. 

“Our goal is to build expertise in the pharmaceutical market at our Greek location in the future. We can see potential for growth in this industry and can make use of existing expertise,” explains ALPLA CEO Günther Lehner. 

CMS under lead partner Alexander Rakosi (Corporate/M&A) has functioned as the lead-counsel for ALPLA on the transaction with the core team further including Lisa Oberlechner (senior associate; Corporate/M&A), Dieter Zandler (partner; Competition) and Linda Marterer (associate; Competition). The CMS Romania team was composed of Horea Popescu (partner; Corporate/M&A), Mircea Moraru (senior associate; Corporate/M&A), Claudia Nagy (senior associate; Competition) and Raluca Ionescu (senior associate; Corporate/M&A). Thomas Böhm (partner; Insurance), Ioanna Ovadias (senior associate; Corporate/M&A) and Marie-Christine Lidl (associate; Corporate/M&A) have provided valuable support. Karatzas & Partners handled all matters under Greek law.
