Rainer Wachter is a distinguished expert in cross-border M&A transactions, compliance issues and capital markets. He gained eight years of international experience in New York, London and Frankfurt and headed the Vienna office of Skadden, Arps, Slate, Meagher & Flom, one of the largest and most successful U.S. law firms, as managing partner for 20 years. At CMS Reich-Rohrwig Hainz he is co-head of the corporate transactions and heads the compliance group. He is admitted as attorney in Austria, New York as well as England & Wales.

He regularly represents buyers and sellers in complex M&A transactions, often in structured sales processes. He advises Austrian and international clients in cross-border M&A transactions involving parties in Austria, Central and Eastern European countries as well as the USA and China. He frequently represents private equity firms with regard to their investments in Austria and CEE.

Rainer Wachter advises companies and governments on compliance issues and represents investors and states in international investement treaty arbitrations. In the field of corporate finance, he represents banks and issuers in international capital market transactions.

  • Advising an Irish corporation on the purchase of an Austrian industrial group with subsidiaries in eight CEE countries.
  • Advising FIMBAG Finanzmarktbeteiligung Aktiengesellschaft des Bundes (Financial Market Holding Company of the Republic of Austria) on the sale of Hypo Group Alpe Adria (SEE network of Hypo Alpe Adria). The buyer was a   consortium consisting of the US fund Advent International and the European Bank for Reconstruction and Development (EBRD).
  • Advising, as financial advisor to the executive board of a Russian bank, a financial services provider on the takeover of an Austrian bank.
  • Advising a shopping centre developer (Israel) and a financial services firm (US/UK) on their EUR 800 m investment in an Austrian real estate holding company.
  • Advising Siemens AG (Germany) on the planned takeover of a company listed on the Vienna Stock Exchange.
  • Advising an international card issuer regarding the sale of their global banking business to an international banking group (volume: USD 1.1 billion), including the sale (and pre-sale restructuring) of the Austrian branch of the card issuer, which accounted for a major part of the transaction.
  • Advising the private equity branch of an international bank on the acquisition of a German/Austrian industrial group.

Compliance

Rainer Wachter heads the compliance team at CMS Reich-Rohrwig Hainz. He can look back on many years of international work experience. He is especially experienced in the field of forensic investigations, having contributed to the internal investigation at Daimler AG concerning allegations made by the US Securities and Exchange Commission and the US Department of Justice.

In his advice, Rainer Wachter also assesses the facts and circumstances following an investigation and provides recommendations to the management regarding legal consequences and measures to be taken, with the aim of avoiding liability.

He has vast experience in drafting compliance management systems, particularly considering the requirements of public finance institutions such as the World Bank, EIB or EBRD.

His international experience in the US and the UK has familiarised him with anti-corruption legislation such as the Foreign Corrupt Practices Act (FCPA) in the US or the UK Bribery Act.
