CMS assisted Lampiris in the restructuring of its share-ownership

CMS Belgium assisted Lampiris in the restructuring of its share-ownership. An agreement was concluded on 14 June 2016 with the aim of organising the disposal of the entire share capital in Lampiris to Total, i.e. the 66% owned by the company's founders, 32% by SRIW and GIMV and the remainder of the shares owned by the management. The purchase price is comprised between EUR 150 and 200 million. The sellers were assisted by the firm Linklaters and the buyer by the firm Allen & Overy.


Lampiris, a Belgian company launched in 2003, supplies green electricity and natural gas in three regions of the country, as well as in France. The company employs more than 300 people in Belgium. Lampiris also offers boiler maintenance services, insulation, smart thermostats and supplies pellets and wood for heating.

Following this repurchase, Total will maintain the Lampiris brand in Belgium, as will the Group's headquarters.

The CMS team responsible for the deal was led by Stéphane Collin and Adrien Lanotte.
