Enrique is head of the Banking & Finance Group at CMS Carey & Allende. His practice focuses on financing, reorganizations, mergers and acquisitions, capital markets and corporate law. 

He has advised local and foreign clients on banking and financial matters, especially in syndicated loans, project finance for the infrastructure and energy sector, debt restructurings, credit transfers, and in the issuance and placement of corporate bonds that are publicly listed and offered on the market.

Relevant experience

  • KKR on the financing transaction for the purchase of 60% of an infrastructure company that operates Telefónica Chile's fibre optic network. The financing, which involved a total amount of USD 416 million, was taken out with a syndicate of banks led by Scotiabank Chile and in which the Bank of Nova Scotia, Banco de Crédito de Inversiones, BTG Pactual Chile, Banco Consorcio, Banco Internacional and Banco Santander-Chile participated. The financing was regulated by the laws of New York and Chile. Sun Dreams on the issuance of corporate bonds in the local market for CLF 5 million (approximately USD 200 million) to finance its investment plans.
  • Socer S.A. on the project finance negotiation of three run-of-the-river power generation plants in southern Chile, with Banco Bice as lender. Our role includes evaluating the particular conditions of the project with respect to water rights and land use agreements, related to the guarantees that will be granted as part of the project financing structure.
  • Sun Dreams on the rescheduling and closing of a syndicated loan for USD 152 million granted in 2016 by Banco de Crédito e Inversiones, as agent bank and lender, Itaú, Corpbanca, Scotiabank Chile and Banco de Chile, to finance its expansion plans in Latin America and other corporate purposes.
  • Sun International Limited on the negotiation, rescheduling and closing of a syndicated loan for USD 61 million granted by Banco de Crédito e Inversiones, Itaú Corpbanca, Scotiabank Chile and Banco Santander-Chile.
  • Nevasa Administradora General de Fondos S.A. on the restructuring of credit lines and other financing that were granted to its subsidiaries, which in turn are financing multiple real estate development projects.
  • Banco Aliado, a Panamanian bank, on the negotiation and closing of the first lines of credit arranged with Chilean debtors, which total more than USD 10 million in amounts granted and are regulated by local law.
  • Migrante on the negotiation and closing of a loan for USD 30 million with a foreign entity, which involved the creation of intermediate investment vehicles, and which was regulated under the laws of New York and Chile.

Enrique is a partner in the Corporate/M&A Group at CMS Carey & Allende since 2015. His practice focuses on mergers and acquisitions, capital markets, corporate law, reorganizations and financing.

His experience in capital markets, investment funds and asset structuring include the markets of Chile, Colombia, the US and the European Union.

Relevant experience

  • Banco Santander Chile on the purchase of 100% of the shares issued by Territoria Vespucio SpA, the entity that owns a property and the permits with which Santander will build its new corporate building. The operation, valued at more than USD 350 million, involved a previous corporate reorganization of Territoria Vespucio SpA, the restructuring of its debt, the procurement of municipal permits and the subsequent negotiation and sale of shares.
  • Sonda S.A. on the sale of its subsidiary I-MED S.A. to ACCEL-KKR, one of the leading US technology investment firms. The operation included bank and seller financing.
  • Empresas Masvida on the corporate and equity restructuring of its subsidiaries, and on the subsequent sale of 51% of clinics and other assets in the health sector to Inversiones Valmar Limitada and Madesal S.A.
  • Universidad San Sebastián on the takeover of Universidad Gabriela Mistral.
  • Grupo Cosemar on the corporate and equity restructuring of the entities that comprise this holding, and on the subsequent sale of 51% of its operations in Chile.
  • Sun Dreams on the acquisition of Thunderbird Resorts Inc.’s operations in Peru, as part of its international expansion in Latin America.
  • Inversiones Tabolango Limitada – Rocas de la Dehesa Limitada on the sale of the controlling stake of Metalizados Industriales S.A. to Andritz Hydro GmbH, for a transaction aimed at unlocking synergies and improving the company’s operations in the Andean Region.
  • BAC Engineering Consultancy Group, S.L. on the restructuring of assets and liabilities of its Chilean subsidiary and on the subsequent sale of IN3 BAC SpA to IN3 Inversiones Chile SpA. The transaction included a purchase agreement.
