CMS Hasche Sigle advises Capital Stage AG on capital increase

Frankfurt/Main – Capital Stage AG has successfully completed pre-placement of the largest capital increase in its corporate history. The Hamburg-based firm has acquired photovoltaic plants and wind farms in Germany and Northern Italy with a capacity of almost 193 MWp since 2009. According to its own assessment, this makes it the biggest independent solar park operator in Germany.

A team led by lead partner Dr Andreas Zanner advised Capital Stage AG and the sole global coordinator, Joh. Berenberg, Gossler & Co. KG, on all aspects of structuring and implementing the transaction. The co-manager is WGZ BANK AG (Westdeutsche Genossenschafts-Zentralbank).

In a pre-placement, a total of 6,211,533 new shares were placed with qualified investors by the bank consortium. These shares relate to existing shareholders who had previously assigned their subscription rights to Berenberg. The offer was substantially oversubscribed. The pre-placement price and also the subscription price for the total of 13,516,249 new shares offered as part of a public subscription offer was set at EUR 3.65 per new share by way of an accelerated bookbuilding process. As a result, Capital Stage obtained gross proceeds of EUR 22.7 million from the pre-placement alone. Overall, Capital Stage AG expects gross proceeds of around EUR 49 million from the issue.
