CMS Hasche Sigle advises Mayfair on merger of Germanischer Lloyd and DNV

Hamburg – The German and Norwegian verification and certification groups Germanischer Lloyd and DNV are merging to form the DNV GL Group. Today's signing of the corresponding agreements in Oslo sees the emergence of one of the largest classification companies and verification organisations for the oil and gas industry, renewable energy and the development of smart power grids. The DNV GL Group will also be expanding the management certification business.

An international team led by CMS Hasche Sigle advised Mayfair SE, the sole shareholder in Germanischer Lloyd, on the cross-border transaction.

The ship classification division (Maritime) with more than 13,000 ships will be managed from Hamburg.

The merger of the two international companies creates an independent technical verification and consulting group headquartered in Høvik near Oslo. It will have four divisions: Maritime, Oil & Gas, Energy, and Business Assurance. More than 17,000 employees will generate annual sales of around EUR 2.5 billion in over 100 countries.

The transaction is currently awaiting approval from the competition authorities.
