CMS Hasche Sigle advises Solarion AG on investment totalling over EUR 100 million

Düsseldorf – Major Asian corporation Walsin Lihwa is acquiring 49% of the shares in Solarion AG, a Leipzig-based maker of flexible thin-film solar cells and modules. The deal, worth around EUR 40 million, is being handled via Walsin Lihwa subsidiary Ally Energy. A further future capital increase of EUR 42 million was also agreed, provided certain conditions are met. The venture is also supported by investment subsidies totalling more than EUR 20 million, involved is Sächsische Aufbaubank.

A team from CMS Hasche Sigle led by Dr Jürgen Frodermann advised Solarion AG on all aspects of the transaction.

The investment agreement involves a proposal to construct an integrated cell and module factory with annual production output of 20 MW and a workforce of 140. Another production facility with 180 MW production capacity is to be built at a later stage. In addition, both parties have signed agreements on technical cooperation and licensing. The companies intend to develop thin-film technology jointly as part of a comprehensive technological partnership.
