CMS advises Capital Stage on successful acquisition of CHORUS Clean Energy AG

Frankfurt/Main – CMS has advised Capital Stage AG on all legal aspects of the successful takeover offer to the shareholders of CHORUS Clean Energy AG. Capital Stage offered the shareholders of SDAX-listed CHORUS Clean Energy AG five Capital Stage shares for three CHORUS shares as part of a share swap worth the equivalent of EUR 320 million. The exchange offer was subject to a minimum acceptance level of 50% plus one share. By the end of the acceptance period, Capital Stage had been offered around 84% of the CHORUS shares, significantly exceeding the minimum acceptance level.

The successful acquisition creates one of the leading independent solar plant and wind farm operators in Europe, with total generation capacity in excess of one gigawatt. Over the medium term, the combined company aims to join the MDAX.
