CMS advises Circle Media Group on landmark acquisition of leading European printing group CPI

A CMS team covering six jurisdictions and eight offices has advised Circle Media Group B.V. on its acquisition of leading printing group, CPI, to create the largest independent European group in the delivery of print and media capability.

The new group will have 26 printing sites in 10 European countries as well as operations in the US, 135 printing presses (including 29 digital printing presses), more than 5,000 employees and combined annual sales of €900 million. This is a strategic development for the industry at a time when the use of e-books is slowing down.

CMS advised on the challenging and complex structure of the acquisition both on the corporate side and the financing side. Our multi-jurisdictional team advised on all aspects of the transactions including M&A, corporate, pension, anti-trust, insurance, employment, tax, equipment financing and real estate sale and leaseback.
