Stuttgart – Dr. Fritz Faulhaber GmbH & Co. KG, a developer and manufacturer of miniature and micro drive technology, has restructured its North American Operations Center by acquiring MicroMo Electronics Inc. The acquired company will trade as Faulhaber Micromo LLC within the Faulhaber Group. The parties agreed not to disclose details of the transaction.
A CMS team headed by Dr Regine Hagen-Eck and Dr Andreas Lohbeck managed the legal due diligence, conducted the negotiations on the purchase agreement and other required contracts, assisted with the tax structuring of the transaction and advised on the official approval procedures in the US on the German side. Dr Marc Seibold advised on financing. In the US, CMS was supported by a team from law firm Quarles Brady LLP, particularly in relation to due diligence and the negotiation of the purchase contract as well as other contracts under US law. CMS was supported by a team from World Law Group partner firm Drinker Biddle & Reath LLP in the three official approval procedures (merger control, Committee on Foreign Investment in the United States (CFIUS), International Traffic in Arms Regulations (ITAR)). Dr Regine Hagen-Eck has been advising Faulhaber for many years and thus also advised on the acquisition process, from the initial strategic deliberations through to successful completion.

The firm is a high-tech provider in the field of miniature and micro drive technology. In addition to Germany, Faulhaber has other development and production sites in Switzerland, the US, Romania and Hungary. The group currently employs more than 1,900 people worldwide.
