CMS advises Grenzebach on sale of Ventech Systems and LJU Automatisierungstechnik

Hamburg – The Grenzebach Group has sold Ventech Systems GmbH to Goodyear and LJU Automatisierungstechnik GmbH to Conductix-Wampfler GmbH. CMS advised the Grenzebach Group on both transactions via two teams headed by M&A specialists Dr Hilke Herchen and Dr Jacob Siebert.

Dorsten-based Ventech Systems is a leading manufacturer of automated tyre inspection systems, supplying innovative measurement systems for the vehicle industry. The company offers a fully automated tyre inspection system that can quickly and simply check the tyre pressure, tread depth and weight of buses, trucks, cars and other vehicles.

Goodyear is one of the world’s largest tyre manufacturers. The company has some 65,000 employees and operates production sites in 21 countries.

LJU is headquartered in Potsdam and has been part of the Grenzebach Group since 2009. The company develops and produces control systems for a range of industrial applications, including for electrified monorail conveyors. The product portfolio also comprises inductive technology, which is used both in mechanical engineering and in warehouse technology solutions. The transaction covered not only the transfer of the shares in LJU to Conductix-Wampfler GmbH, but also the transfer of assets held by other companies in the Grenzebach Group in the US, China and Brazil. After the transaction had been approved by the competition authorities, the sale was completed at the end of 2017.

Conductix-Wampfler GmbH, located in Weil am Rhein, is one of the world’s leading manufacturers of systems for energy supply and data transmission to mobile consumers.

The Grenzebach Group is an international family-owned business providing plant engineering and automation technology solutions for manufacturing and automated processes. The three divisions of the Grenzebach Group – Glass, Building Materials and General Industry – serve industrial producers of glass and building materials, international logistics firms, and the automotive, aviation and food industries.
