CMS advises NORD Holding on sale of floor covering manufacturer Parador to HIL Limited of India

Cologne – Indian building materials producer HIL Limited, a subsidiary of the CK Birla Group, has acquired German floor covering manufacturer Parador from its existing owner, NORD Holding Unternehmensbeteiligungsgesellschaft mbH. The transaction is currently awaiting approval from the competition authorities.

A CMS team headed by lead partner Klaus Jäger advised NORD Holding on all legal aspects of the complex transaction. The transaction was signed and sealed within just two weeks of commencing negotiations with the buyer, which is listed in India. CMS also advised NORD Holding in 2016 on the acquisition of Parador GmbH from the Hüls Group.

Parador GmbH is a German manufacturer of hard floor coverings with sites in Coesfeld (North Rhine-Westphalia) and Güssing (Austria). The company develops and produces laminate, parquet and LVT/PU floor coverings as well as panels, skirtings and accessories. It sells its products worldwide. Parador has some 500 employees and posted net sales of around EUR 150 million in the last reporting year. Indian firm HIL Limited aims to use the acquisition of Parador to boost global sales of its own brands and establish Parador in the Indian market.

Hanover-based NORD Holding Unternehmensbeteiligungsgesellschaft mbH describes itself as a leading equity investor for upper-tier SMEs. It focuses on structuring and financing corporate succession models, acquiring corporate divisions and subsidiaries, and on financing expansion. The company currently has stakes in 25 companies in Germany and other German-speaking countries.
