Frankfurt/Main - TEC4AERO GmbH, a portfolio company held by private equity firm Deutsche Beteiligungs AG and located in the Lower Saxony town of Wiefelstede, has acquired the Aircraft & Technologies Systems division of Stuttgart-based international engineering company Dürr AG. The deal enables the leading expert in production processes for the aerospace industry to expand its product range and become the world's largest supplier of aircraft assembly technology. In return, Dürr will hold a minority stake of 11% in the Broetje-Automation Group via TEC4AERO GmbH.
The Aircraft & Technologies Systems division has some 120 employees at the Bietigheim-Bissingen and Wyhlen sites. The transaction is currently awaiting approval from the relevant authorities.
An international team from CMS led by lead partner Dr Hendrik Hirsch advised TEC4AERO and Broetje on all legal aspects of the asset deal. The key areas of advice included structuring the investment by the Dürr Group in TEC4AERO and separating out the aerospace business from Dürr Systems’ core activities, which primarily involve the automotive sector. The advice also covered the transitioning of major projects in several countries, including Russia and the US.
Deutsche Beteiligungs AG is a longstanding CMS client. A listed company, it has been operating for almost 50 years, making it Germany's oldest private equity firm. It focuses on market-leading SMEs in Germany and neighbouring European countries. The portfolio was
worth around EUR 173 million in the 2012/2013 financial year. Broetje Automation is a leading global technology service provider for production processes in the aerospace industry with more than 510 employees. The Dürr Group is a leading international supplier of products, systems and services mainly for car manufacturing, but it also has a successful track record spanning 30 years in the aviation industry. 8,200 employees generated sales of around EUR 2.4 billion in 2013.
