CMS advises Telefónica Deutschland on issue of EUR 360 million promissory note loans

Frankfurt/Main – Telefónica Germany GmbH & Co. OHG, a subsidiary of Telefónica Deutschland Holding AG, has completed the placement of multiple promissory note loans. The transaction was arranged by Bayerische Landesbank (BayernLB), Landesbank Baden-Württemberg (LBBW) and HSBC Trinkaus & Burkhardt (HSBC). The company issued promissory note loans worth a total of EUR 360 million, with maturities of between five and ten years. 

A CMS team led by partners Philipp Melzer and Oliver Dreher advised Telefónica on all legal aspects of the transaction. CMS has regularly advised the group on capital market transactions since its IPO in October 2012. Recent examples include the placement of an innovative blockchain-based promissory note loan and of registered bonds totalling EUR 250 million (March 2018) and a benchmark bond issue worth a total of EUR 600 million (July 2018). 

Telefónica Deutschland Holding AG, which is part of Spanish telecommunications group Telefónica, has been listed on the Frankfurt Stock Exchange since 2012, on the TecDAX since 2013 and on the MDAX since 2018. With some 49.5 million customer connections, the company is a leading integrated telecommunications provider. Telefónica Deutschland has more than 45 million customers in the mobile segment alone. In the 2018 financial year, Telefónica Deutschland had almost 9,000 employees and generated sales of around EUR 7.3 billion.
