CMS advises Wohlhaupter GmbH on investment by US investor

Stuttgart – US-based company Allied Machine & Engineering Corporation of Dover, Ohio, has acquired a majority of the shares in Wohlhaupter GmbH. Frank Wohlhaupter, managing director of precision tool manufacturer Wohlhaupter, which is based in Frickenhausen, southern Germany, increased his minority stake as part of the sale. He will continue to lead the company.

An international team headed by lead partner Dr Claus-Peter Fabian and Peter Hocke advised the shareholders of the Wohlhaupter Group on all legal aspects of the transaction.

The Wohlhaupter families decided on the sale for succession purposes and to enable the company’s ongoing development and international expansion. In addition to acquiring a majority stake as part of the transaction, Allied has also acquired the assets of US subsidiary Wohlhaupter Corporation. Wohlhaupter is thereby reinforcing its position in the US market, while Allied is simultaneously consolidating its presence in Europe via Wohlhaupter. Various minority shareholders in the USA and India exited the company as part of the transaction.

Wohlhaupter has had an international reputation for innovative precision tools for bore machining for more than 87 years. The company is the market leader for modular tool systems in Germany. The machining specialist offers the world’s largest range of digital tools with direct opto-electronic traverse measurement.

Family-owned company Allied was founded in 1941 and is headquartered in Dover, Ohio/USA. Recognised around the world as a provider of premium holemaking solutions, the company’s activities are focused geographically on the US market.
