CMS advises consortium led by hagebau Group on acquisition of Danhauser Group’s DIY stores and builders’ merchants depots in Bavaria

Munich – A consortium comprising hagebau and five Bavarian companies associated with hagebau has acquired the 14 DIY stores and builders’ merchants depots belonging to the Danhauser Group. This move preserves the unity of the company, which will remain a member of the hagebau Group going forward. The transaction is currently awaiting approval from the competition authorities. Details of the transaction were not disclosed.

A CMS team led by Richard Mitterhuber advised on all legal aspects of the complex transaction. The in-house Smart Operations unit was also part of the team. This multi-location team of commercial lawyers uses proprietary legal tech tools to provide support for due diligence processes and similar checks.

Based in Soltau in Lower Saxony, hagebau Handelsgesellschaft für Baustoffe mbH & Co. KG is an alliance of around 370 legally independent SMEs in the specialist and retail trade. It has more than 1,350 employees in total. In 2018, the company posted net sales of around EUR 6.33 billion.

The Danhauser Group is headquartered in Amberg, Bavaria. It operates eight hagebau stores, six builders’ merchants depots and one window and door centre in the region. The group employs around 650 people and according to its own figures generates annual sales of some EUR 170 million.
