CMS advises mutares AG on acquisition of Balcke-Dürr

Munich – An international CMS team has advised listed company mutares AG of Munich on the acquisition of international equipment manufacturer Balcke-Dürr from SPX Corporation (USA). Balcke-Dürr will be incorporated into mutares’ Engineering & Technology segment. mutares plans further investment in this segment and Balcke-Dürr represents the first stage in the process. The transaction is currently awaiting approval from Germany’s Federal Cartel Office.

A CMS team from Germany, China, Italy, Poland and Hungary headed by lead partner Dr Martin Kolbinger advised mutares AG on the legal aspects of the transaction. This marks the first time that CMS has advised mutares on a cross-border deal.

mutares AG acquires mid-sized companies which are being sold by their previous owners as part of a repositioning strategy and offer potential for operational improvement. By actively engaging via its own teams, mutares aims to help its portfolio companies achieve sustainable long-term growth and thereby deliver a significant increase in value.

Balcke-Dürr manufactures components for boosting energy efficiency and reducing emissions, focusing on the chemical and power generating industries. In 2015, Balcke-Dürr had 650 employees and sales of EUR 142 million. The company has engineering and production sites in Germany, Italy, Poland, China, India and Hungary.

Based in Charlotte, North Carolina (USA), SPX Corporation is a global industrial enterprise with more than 6,000 employees, who generated revenue of USD 1.7 billion in 2015.
