Frankfurt/Main – Coherent, Inc. ("Coherent"), a world leader in lasers and laser-based technology for scientific, commercial and industrial customers, has today announced completion of its acquisition of ROFIN-SINAR Technologies, Inc. ("Rofin"), one of the world's leading developers and manufacturers of high-performance industrial laser sources and laser-based solutions and components at a cash price of $ 32.50 per share in a transaction with an estimated value of approximately $ 942 million. Coherent financed the transaction with a combination of cash on hand and an acquisition loan for EUR 670 million. As a result of the transaction, trade with Rofin common stockon the NASDAQ and Frankfurt Stock Exchange will be suspended.
An international CMS team led by lead partner, Dr Heike Wagner, CMS Germany provided Coherent with comprehensive legal advice on the acquisition. The mandate included the reorganisation of the group structure and advice in connection with the delisting and the acquisition financing in all relevant European jurisdictions – in particular, in the Netherlands, England, Scotland, Spain, Italy, France and Switzerland Coherent has relied on the expertise of the CMS lawyers for many years already, for example, when acquiring Lumera Laser GmbH and Innolight GmbH.

The company is a leading manufacturer of lasers and laser-based system solutions for industrial material processing applications. The company focuses on developing key innovative technologies and modern production methods for a wide variety of industrial applications based on a broad scope of technologies.
