CMS BFL acted as legal counsels for Générale de Santé as part of the acquisition of Hôpital Privé Beauregard de Marseille by the Sainte-Marguerite group

CMS Bureau Francis Lefebvre advised Générale de Santé as part of the sale by its subsidiary Compagnie Générale de Santé of a controlling stake in Hôpital Privé Beauregard de Marseille, which operates the eponymous healthcare establishment in Marseille, to the Sainte-Marguerite group.

Under the memorandum of understanding which was signed yesterday in Marseille City Hall in the presence of the Mayor, Jean-Claude Gaudin, Générale de Santé accepted the offer by Sainte-Marguerite Group to purchase Hôpital Privé Beauregard, thus ensuring the long-term preservation of the range of therapies and trreatments on offer there and the continuation of the establishment’s activity in the healthcare field. The Sainte-Marguerite group already operates 5 hospitals in the PACA region.

Pursuant to the discussions which were conducted under the aegis of the Regional Health Board and Marseille City Hall, Générale de Santé concluded that the offer made by the Sainte-Marguerite group constituted the best opportunity to secure the hospital’s jobs, protect its future and sustain the growth of healthcare options in the north of Marseille.

With a turnover of nearly 2 billion euros, Générale de Santé, whose shares are listed on the NYSE Euronext Paris stock exchange, is the leading operator of private hospitals in France. It operates 106 hospitals and private clinics which treat 1 million patients each year.

As part of this operation, Générale de Santé was advised by CMS Bureau Francis Lefebvre, with Arnaud Hugot, Laure Varachas, Alexandre Morel dealing with the corporate aspects and Jean-Charles Benois and Philippe Gosset dealing with the taxation aspects. Emmanuelle Barbara and Pierre Warin of August & Debouzy dealt with the labour law aspects.

The Sainte-Marguerite group was advised by Fidal, with Gerald de Micco dealing with the corporate aspects and Cécile Blanc-Galas dealing with the taxation aspects.
