CMS Bureau Francis Lefebvre, Allen & Overy and Taj advise on Howa Textile Industry Co., Ltd.’s acquisition of Tramico SAS’s automotive business in France

CMS Bureau Francis Lefebvre advised Tramico SAS on the sale of 100% of Tramico Automotive France SAS (since renamed Howa Tramico SAS) to Howa Textile Industry Co., Ltd.

Allen & Overy and Taj advised Howa Textile Industry Co., Ltd on the transaction.

Among its different operations, Tramico manufactures and sells automotive headliner and other interior components (Howa’s main business in Japan) to customers in the European and Russian markets. Tramico’s automotive division, including subsidiaries, has three production sites in France, as well as one each in Spain, Slovakia and Russia.

The automotive division’s main customers include several of Europe’s leading carmakers, notably PSA Peugeot Citroën, Renault-Nissan and Volkswagen. By acquiring Tramico Automotive France SAS, Howa will be able to supply the forefront automobile manufacturers in Europe. Howa also intends to develop its business with European carmakers in the North American and Chinese markets.

To achieve this goal, Howa will develop a network of production sites to cover Europe and Russia. It already has international facilities covering the United States, China and Southeast Asia. A world-class player, Howa will develop its sales to both Japanese and non-Japanese carmakers around the world.

CMS Bureau Francis Lefebvre provided advice to Tramico SAS, with Alexandra Rohmert, Solveig Le Pichon, Chantal Jordan and Caroline Parat advising on corporate matters, Alain Herrmann and Laetitia Blanloeil advising on employment law matters, Lionel Lenczner and Anne-Sophie Rostaing advising on tax matters, Stéphanie de Giovanni, Céline Cloché-Dubois, Alexandra Le Corroncq and Aline Divo advising on contract, environmental, intellectual/industrial property and real estate law matters, and Denis Redon and Virginie Coursière advising on competition law matters.

Allen & Overy provided advice to Howa Textile Industry Co., Ltd., with Jean-Claude Rivalland, Olivier Thébault and Jules Lecoeur advising on corporate matters, Sabine Smith-Vidal and Christophe Marie advising on employment law matters, Michel Struys, Florence Ninane and Agnès Poggi advising on competition law matters, Alexandre Rudoni and Jean-Baptiste Thienot advising on industrial property matters, Romaric Lazerges and Julia Thibord advising on environmental law matters and Marjorie Seignette advising on real estate law matters.

Taj provided advice to Howa Textile Industry Co., Ltd., with Arnaud Mourier and Fanny Grillo advising on tax matters.
