CMS Bureau Francis Lefebvre acted as advisor to Vivalto Santé in connection with setting up a single private health facility in Brest with Vedici

CMS Bureau Francis Lefebvre was the advisor to Vivalto Santé for its merger with Vedici, which took place via a cross-shareholding agreement relating to their clinics Pasteur Lanroze and Keraudren-Grand Large in Brest.

Vivalto Santé and Vedici sealed the merger of their respective healthcare units in Brest, namely Vivalto Santé's Pasteur Lanroze clinic, and Vedici's Keraudren and Grand Large clinics, by means of the acquisition of a minority stake by each amounting to 49% of the share capital and voting rights of the company exploiting the facilities of the other.

Yannick Goasguen, the Director of the Pasteur clinic, will be the Managing Director of this new amalgamation, whereas Jean-Daniel Simon, the former Chairman of the Executive Board of Keraudren-Grand Large, will be the Chairman of the Board of Directors of the units of which it is composed.

The Vivalto Santé and Vedici groups aim to develop a joint medical project in Brest via this alliance whilst preserving the identity of their respective units.

This new private healthcare facility in Brest will have 850 employees and 260 doctors against a capacity of around 500 beds.

For this deal Vivalto Santé received legal advice from CMS Bureau Francis Lefebvre, namely Arnaud Hugot (Partner), Virginie Corbet-Picard and Jean-Charles Daguin.

Vedici received legal counsel from Eric Labro (Partner) and Audrey Wendling of the law firm Godet Gaillard Solle Maraux & Associés.
