CMS Bureau Francis Lefebvre advised Vivalto Santé

CMS Bureau Francis Lefebvre advised Vivalto Santé for the acquisition of Centre Médico-Chirurgical de l’Europe in Port Marly

Vivalto Santé has acquired a controlling interest in the company that operates Centre Médico-Chirurgical de l’Europe in Port Marly, a western suburb of Paris. Created more than 30 years ago, the 260-bed and space facility is one of the largest, most respected multi-disciplinary hospitals in the Ile de France region.

Through the transaction, Vivalto Santé has now entered the Ile de France region after having expanded in Western France, in particular with the acquisitions of i) Cliniques Privées Associées, comprising three clinics located in Saint Grégoire (near Rennes), Saint Malo and Brest (December 2009); ii) Polyclinique de la Baie in Avranches, Normandy (early 2011); iii) Clinique Sourdille in Nantes (late 2011); iv) Polyclinique de la Rance in Dinan (January 2012); v) Polyclinique de Kério in Pontivy (June 2012); and vi) Polyclinique Ste Marie in Chateaubriand (July 2012).

Vivalto Santé has around $170 million in revenue and nearly 2,000 employees.

The company is led by Daniel Caille, who was a founder of Générale de Santé. On 15 Novembre 2012, it won the Best Build Up Award at the Private Equity Exchange & Awards ceremony.

During the transaction, Vivalto Santé was advised on the legal aspects by CMS Bureau Francis Lefebvre with Arnaud Hugot and Virginie Corbet-Picard, corporate lawyers, for financial due diligence by Deloitte with Alban Cabanis and Cécile Rémy, and for legal due diligence by Lamartine Conseil with Fabien Mauvais.

The physician sellers were advised on the legal aspects by Christine Macque, from Sopej, and by Agnès Alleaume.
