CMS Bureau Francis Lefebvre advises Ethicon SAS ont the sale of the Codman Neurosciences Activity

On 2 October 2017, Johnson & Johnson laboratories (Ethicon SAS), the transferors, and Integra Lifesciences, the transferee, signed an agreement to transfer the French business of Codman Neurosciences as part of a global deal, dating from 14 February 2017, for which CMS assisted Johnson & Johnson in nine European countries including France.

CMS Bureau Francis Lefebvre advised Ethicon with Edouard Milhac, partner, and Céline Pasquier, for tax, Henri Bitar, partner, for VAT, Francine Van Doorne-Isnel, associate counsel for legal, with support from Guillaume Bordier, partner, Capstan Avocats, for HR issues.

Integra Lifesciences was advised by Latham & Watkins with Charles-Antoine Guelluy, partner, Alexandre Balat and Julie Tchaglass for corporate, Xavier Renard, partner, Yann Auregan for tax, and François Proveau, for HR.
