CMS Bureau Francis Lefebvre advises Nexstage on its investments in The Steel Shed Solutions Group

19/09/2017

CMS Bureau Francis Lefebvre advised NextStage on its joint investment alongside the family team of entrepreneurs from Steel Shed Solutions to accelerate development of the digital platform selling kit homes.

Steel Shed Solutions now wants to accelerate development of its European and international activity, particularly in Africa, and position itself as the international leader in the kit buildings and associated products market.

Led by Dominique and Vincent Lyonnet, the Luxembourg-based Steel Shed Solutions group is a digital platform specialising in the design and online sale of metal ready-to-assemble kit buildings. For more than 16 years, the group has sold buildings via its websites for a range of uses: storage hangars, cattle barns, industrial buildings, agricultural frames, riding schools, etc. Its customers come from the private as well as public sectors (town halls, ministries, etc.).

As well as digital marketing efforts, the group is present at numerous international shows and strives to develop a strong user community. Thanks to this strong customer network, Steel Shed Solutions has leading buildings in all areas of France and, more generally, in all countries in which a structure has been sold.

For this transaction, NextStage was advised by CMS Bureau Francis Lefebvre with Arnaud Hugot (partner) and Solenne Gilles for corporate aspects, Jean-Charles Benois (associate counsel), Amélie Retureau (associate counsel) and Floriane Dienger for tax aspects, Caroline Froger Michon (partner) and Aurélie Parchet for employment law aspects and CMS Luxembourg for aspects concerning Luxembourg law. Financial due diligence was carried out by Mazars with Pierre Tchertoff (partner) and Baptiste Faye.

The company and its founding shareholders were advised by Carmin Finance with Dominique Tréchot and AMMC Law with Christophe Maillard (partner) on corporate aspects and Arnaud Arrecgros (associate counsel) en for financing.

BGL BNP Paribas was advised by Hogan Lovells with Sabine Bironneau (partner), Claire Fruchet, Maria Klass and Agathe Laissus.
