CMS Bureau Francis Lefebvre advises Vivalto Santé Group on the acquisition of the surgical clinic Victor Hugo Clinique Chirurgicale in Paris

CMS Bureau Francis Lefebvre advised Vivalto Santé Group in the acquisition of more than 95% of the share capital in Clinique Chirurgicale Victor Hugo, the company that operates the clinic of the same name in the 16th district of Paris.

The rationale behind the acquisition for Vivalto Santé is to pursue its growth in the Greater Paris region, building on its 2012 acquisition of the Centre Médico-Chirurgical de l’Europe in Port Marly, Yvelines.

Vivalto Santé also has a significant presence in the west of France with nine facilitites located in Brittany, Normandy and the Loire region. In addition, it owns the Clinique Générale d’Annecy, in Haute Savoie, and is preparing to further boost its portfolio with a deal to purchase the Polyclinique de Rillieux near Lyon.

With revenue totalling €260 million,the group has 2,500 employees and 800 practitioners.

Vivalto Santéis headed up by Daniel Caille, one of the founders of Générale de Santé.

Vivalto Santé was advised on the legal aspects of the transaction by CMS Bureau Francis Lefebvre with Arnaud Hugot (partner) and Virginie Corbet-Picard, by Deloitte for financial due diligence with Alban Calbanis and Cécile Rémy, and by Lamartine Conseil for legal due diligence with Fabien Mauvais.

The vendors were advised on the legal aspects of the deal by Orlandi.
