CMS Bureau Francis Lefebvre and Allen & Overy LLP on the establishment of the EMTN programme of Région Provence-Alpes-Côte d'Azur and its related inaugural issue

CMS Bureau Francis Lefebvre acted as legal adviser to Région Provence-Alpes-Côte d'Azur on the establishment of a €1,000,000,000 EMTN (Euro Medium Term Notes) programme and on its related €119,500,000 inaugural issue.

Allen & Overy LLP advised HSBC France, acting as arranger and dealer under the programme, and the other dealers named therein with respect to the establishment of the programme and the joint lead managers with respect to the inaugural issue.

The Region's EMTN programme was rated AA by Fitch Ratings and the Autorité des Marchés Financiers granted its visa on the base prospectus on June 29, 2012.

As many other local authorities which recently issued notes on the market, the establishment by Région Provence-Alpes-Côte d'Azur of an EMTN programme and the launch of an issue thereunder reflects the Region's concern to benefit from a wide range of financing resources, thereby foreseeing a long term activity on the bond market as an alternative for its financing.

Crédit Agricole Corporate and Investment Bank and HSBC France acted as joint lead managers on the inaugural issue, which was settled for an amount of €119,500,000 at a rate of 3.60 per cent. for a 12-year maturity. The notes obtained a AA rating by Fitch Ratings and were admitted to trading on Euronext Paris on July 12, 2012.

The success of this transaction confirms the investors' interest in Région Provence-Alpes-Côte d'Azur's debt securities just a few months after the closing of a €52,000,000 stand alone transaction by the Region.
