CMS advises 21 Centrale Partners on the sale of Vacalians

21 Centrale Partners, Proméo, Batipart and the Vacalians Group's other shareholders have signed an agreement with the fund Permira regarding the takeover of Vacalians, the European campsite leader (revenue of €140 million in 2014), created from the merger in 2012 between Vacances Directes (then owned by 21 Centrale Partners) and its competitor Village Center.

After the takeover, which must still be expressly or tacitly authorised by the French Competition Authority, 21 Centrale Partners will sell the whole of its stake.

For this operation, the CMS Bureau Francis Lefebvre team consisted of Christophe Blondeau (partner lawyer), Thomas Hains and Julie Bailly for the Corporate/M&A aspects. Laurent Hepp (partner lawyer) and Florian Burnat assisted with the tax aspects, Grégory Benteux (partner lawyer), Alexandre Bordenave and Alexandre Chazot with the financing aspects, Vincent Delage (partner lawyer) with the employment law aspects and Denis Redon (partner lawyer) and Virginie Coursière-Pluntz with the competition aspects.

Permira was advised by Clifford Chance (Fabrice Cohen and Marianne Pezant), the reinvestor shareholders were advised by De Pardieu Brocas Maffei (Nicolas Favre and Sébatien Sayn-Urpar), while the lenders involved in maintaining the existing financing were advised by Hogan Lovells (Sabine Bironneau).
