USPP under French Law by Deloitte: CMS Bureau Francis Lefebvre advisor to the US investor

Deloitte, a world leader in auditing and professional services, has successfully completed its first bond private placement in the format of a USPP governed by French law, raising EUR 40 m. with a maturity of seven years from an American institutional investor. This private placement, carried out on the basis of a documentation in line with that used on the US market, while being governed by French law, includes the option for Deloitte to draw down up to a further EUR 30 m. upon request within a period of two years.

This deal was carried out in order to increase the group's ability to support its medium-term business development, while diversifying its sources of funding and extending their maturity.

For this deal, CMS Bureau Francis Lefebvre acted as advisor to the American investor. The CMS Bureau Francis Lefebvre team comprised Marc-Etienne Sébire, partner, Rosetta Ferrère, counsel, and Myriam Issad, associate.

Deloitte was advised by the law firm TAJ, whose team was made up of Antoine Larcena, partner, and Antoine Bérard Chadelat, associate.
