Dipesh Santilale heads up the Corporate Financial Services transactions team and is a member of the CMS Private Equity team.

Dipesh regularly advises UK and international financial institutions on M&A and restructurings, as well as providing advice on corporate governance and regulatory issues. Dipesh also regularly acts for institutions and investors on strategic corporate ventures and investments.

He also regularly advises investors and operators in the asset management and real estate sectors, advising on joint ventures, restructuring and M&A processes.

Relevant experience

  • Regularly advising Savills and Savills Investment Management on M&A including the recent joint venture with Samsung Life Insurance.
  • Sale by Sanlam Life of its UK pensions business to Chesnara and wealth management business to Oaktree Capital.
  • Acting on recent capital raises for Liberis (including from FTV Capital and Blenheim Chalcot), a leading UK embedded finance provider to SMEs.
  • Legal & General on M&A and corporate venture activity, including the recent sale to Fidelity International of a £6bn retail investment portfolio and joint venture with EDF for rolling out of EV charging infrastructure, creation of a UK science and innovation real estate joint venture, investment in Household Capital and numerous other ESG focussed technology start-ups.
  • AnaCap on the sale to JC Flowers of Cabot Credit Management and the acquisition and sale of leading Czech challenger bank Equa.
  • Trainline on the  sale and re-investment aspects of the acquisition of the business by KKR from Exponent.
  • Ametek on numerous acquisitions including of Nu Instruments and Alphasense.
  • National Australia Group on strategic M&A, restructuring and demerger processes and the reorganisation and disposal of its UK CRE portfolio and ongoing corporate/regulatory advice.
  • Kaupthing on the restructuring and sale of the La Tasca restaurant chain, Asquith Nurseries and  the Oasis & Warehouse businesses.
  • Qatar National Bank in relation to its joint venture development and financing arrangements relating to the Shard and investments in other prominent London and European real estate assets.
  • A number of South African, Danish and Swiss banks on their disposals of UK businesses.
