Graeme Bruce is a partner in the Corporate department with over 25 years of experience as a corporate lawyer. He is consistently listed as a leading lawyer in the directories and specialises in a range of corporate finance work including IPOs, secondary share issues, fundraisings and public company takeovers and reverse takeovers as well as other M&A work acting for a wide range of fully listed companies, AIM companies, institutions and private companies.

  • Clyde Blowers Capital in its $1bn acquisition of its fluid and power division (comprising 4 separate complex businesses) from Textron Inc and the launch of £200m private equity fund and subsequently acting for CBC and SCF in the £750m sale of Clyde Union Group to SPX Corporation.
  • InterBulk Group plc an AIM listed multi modal transportation company in innovative cash box placing of shares on AIM for £18.5m gross to Sinotrans and subsequently in its takeover by Den Hartogh Holding B.V, effected by a scheme of arrangement.
  • Clyde Blowers Capital fund company Allrig Middle East DMCC in the acquisition of businesses in Dubai, Brazil and  Singapore from IRM International.
  • Smart Metering Systems plc an award winning AIM company on the acquisition of Utility Partnership Limited, a leading manager of electricity meters in the UK and provider of electricity connections, design, meter installation, data management and energy management services.
  • Sport Tiedje GmbH in its acquisition of Laidir Leisure Limited (trading as Powerhouse Fitness).
  • Land Securities plc and British Land in the complex sale of various UK and Jersey entities that owned the Bon Accord and St Nicholas shopping centres in Aberdeen for £198m and subsequently acting for LS in the £224m sale of Almondvale (Livingston) Limited and related site.
  • Smart Metering Systems plc in its multi award winning IPO and placing on AIM to raise £27m gross and subsequently on the acquisition of Utility Partnership Limited, a leading manager of electricity meters in the UK and provider of electricity connections, design, meter installation, data management and energy management services.
  • Kennedy Wilson Europe Real Estate Plc a premium Listed property company in its purchase of SABD Holding (UK) Limited the owner of the Fairmont Hotel St Andrews, Scotland.
  • Team Rock a international multi-media content creation and distribution business, in its acquisition from  Future plc of its music listening business including its rock brands Classic Rock and Metal Hammer, including all the brand extensions of the magazines alongside internationally famous branded events, The Golden Gods and The Classic Rock Roll of Honour.
  • Standard Life plc demutualisation of Standard Life and IPO on the Official List of the London Stock Exchange.  This was a hugely complex transaction involving the IPO of Europe's largest remaining mutual with a market capitalization of £115,900 million.
