Eszter Török is a senior counsel at CMS Budapest, supporting the work of our corporate/M&A and finance departments.

She started her career at CMS, working for the Budapest and London offices between 1995 and 2004. She then joined Teva Pharmaceuticals where she worked as General Counsel of the Hungarian Teva Group. She re-joined CMS in 2015. 

Eszter has participated in numerous financing and portfolio transfer transactions and has gained significant experience in the fields of corporate finance, property/company acquisitions, project financing, re-financings/restructurings, portfolio sales as well as in regulatory matters. 

In addition, Eszter has in-depth experience in negotiating commercial contracts, advising on corporate law and corporate governance issues, and counselling on various property and M&A transactions, particularly in the financial services sector. She is also experienced in providing employment law, competition and compliance law advice. She is specialist in pharmaceuticals, having advised clients on key regulatory issues, projects, transactions and other matters.

Between July 2020 and December 2021 Eszter has been on a full-time secondment to EBRD, working as Counsel in OGC Banking.

Eszter holds dual qualification as a lawyer in Hungary and as a solicitor of England and Wales.

  • Balbec Asset Management 
    • on the purchase of MKB Bank Plc’s non-performing retail mortgage loan portfolio, secured mostly by residential mortgages;
    • on the acquisition of retail real estate non-performing loan portfolio owned by CIB Bank.
  • A US fund and CEE servicing entity on the acquisition of a non-performing loan portfolio owned by a retail bank.
  • A major Austrian commercial bank on a bilateral loan facility to be provided to a Hungarian commercial bank under English law.
  • Futureal Prime Properties on Budapest One Business Park and Etele Plaza financings. The plaza is Hungary’s third largest (55,000 m2) shopping and entertainment centre.
  • Sberbank Hungary on a high-value property financing matter and on Project Atrium financing located in Budapest and Szombathely.
  • HYPO NOE Landesbank für Niederösterreich und Wien AG on the acquisition of Infopark “D” building.
  • Two major Austrian commercial banks on the refinancing of an office building development project in Serbia.
  • A major Hungarian bank on the restructuring of a company group holding several shopping malls and other commercial real estate in Hungary, Poland and Cyprus.
