Zoltán Poronyi is a Hungarian qualified lawyer who specialises in corporate and commercial law and member of the Corporate/M&A Team at CMS Budapest.

Zoltán has more than 15 years’ experience in advising both domestic and international clients on major corporate transactions and projects including due diligence, mergers and acquisitions, cross-border mergers, restructuring and joint ventures. He has been engaged in all kinds of corporate maintenance activity. He also has substantial experience in commercial deals.

  • Erste Bank on the acquisition of Citibank’s consumer business in Hungary and advised on the foundation of the Hungarian home-saving institution.
  • AXA Insurance on the sale of 100% of its shares, in its life insurance business in Hungary, to Vienna Insurance Group.
  • Partner in Pet Food (Group company of Advent International) on the acquisition of the pet food unit of Agro-Trust, a Hungarian family-owned business, dealing with pet food manufacturing and agricultural services.
  • RTL Group (Bertelsmann Group) on the acquisition of seven broadcasting channels, which is a unique, standalone acquisition in the TMT sector in the country. This included M&A, structuring, competition and media regulatory work.
  • A&N Media (Daily Mail Group) on its strategic exit of, leading online job and car portals as well as printing business, across six CEE countries in 7 jurisdictions.
  • Ubichem plc the client on the sale of 76% of its quota holding in Ubichem Kft.
  • A major Hungarian bank on the sale of a foreign subsidiary.
  • Raiffeisen Energy on the acquisition, sale and structuring of various wind park projects, continuous corporate legal support
  • Iberdrola on the acquisition and structuring of various wind park projects, restructuring, shareholders’ agreement with EBRD, continuous legal support and recently on the merger of the Hungarian subsidiary of Iberdrola Renovables and its wind farm project companies.
  • Samsung Electronics on the establishment of companies, providing day-to-day legal advice regarding its operations in Hungary.
  • Synlab on the acquisition of Centrum-Lab Kft.
  • AXA Bank in the sale of the Hungarian banking business to OTP.
