HUBER Packaging Group advised by CMS on acquiring four plants in Switzerland, Finland, the UK and France
Stuttgart – HUBER Packaging Group GmbH, headquartered in Öhringen, has acquired four production facilities for chemical-technical tinplate activities from US-based CROWN. The plants are located in Switzerland (Aesch), Finland (Helsinki), the UK (Liverpool) and France (Rouen).
An international CMS team headed by CMS Hasche Sigle lead partner Dr Maximilian Grub advised the HUBER Packaging Group on the legal aspects of the cross-border transaction. Implementation was partly as a share deal and partly as an asset deal. The business purchase agreement is subject to German law. The purchase price was financed through an acquisition loan provided by Deutsche Bank S.A. Luxembourg as syndicate lead. CMS also advised the HUBER Group in connection with the financing.
Following the acquisition, the number of employees at the HUBER Group will increase by around 450 to 1,150. Provisional combined sales for 2014 are estimated at around EUR 230 million.
