CMS advises Advent International on leveraged acquisition of Provimi Pet Food

CMS has advised Advent International on an agreement to acquire Provimi Pet Food (PPF) from the Provimi Group. Advent International is a leading global private equity firm and a longstanding client of CMS.

The enterprise value is €188 million with PPF being the third largest producer of private label wet and dry pet food in Europe. With eight production locations throughout Europe, PPF serves large retail food chains in 27 countries. The company has around 1000 employees and had a total sales of €236 million in 2010. Advent International is committed to supporting the existing growth ambitions for the business and exploring potential opportunities in new markets and new product development.

The transaction is expected to complete following European Union merger clearance as well as the completion of certain other works council processes.

CMS lawyers and support staff from nine jurisdictions were involved in this transaction; namely Czech Republic, France, Hungary, The Netherlands, Poland, Romania, Russia, Slovakia and the UK.

Graham Conlon led the transaction. The Dutch team was led by Roman Tarlavski and comprised Christian Delgado, Marc Orval Stephanie Dekker, Allard Knook, Arne van Bijnen, Jochem de Koning, Sebastiaan Sellenraad, Paulus van den Bos, Damia van Laarhoven, Gordon Tichelaar, Ellen Gielen, Jan Willem Huizink, Luurt Wildeboer and Steffen Hagen.
