CMS advises Holcim on the sale of shares and entering into a joint venture

CMS advised Holcim Betonproducten B.V. on splitting-off of various activities. In addition, CMS advised Holcim Nederland B.V. on the sale of its shares in Holcim Betonproducten B.V. and accomplishing a joint venture (shared undertaking) with MBI Group.

Holcim Betonproducten B.V. has split-off some of its business activities to the newly established companies Holcim Prefab B.V. and Holcim Coastal B.V.

Holcim Nederland B.V. subsequently sold its shares in Holcim Betonproducten B.V. (with its remaining garden, infrastructure and agro-activities) to MBI Group, for which Holcim Nederland B.V. has received shares in the MBI Group holding company. Through this, the joint venture with MBI Group was formed and the production facilities of Holcim Betonproducten B.V. in Aalst, Groot-Ammers and Nieuw-Lekkerland will be combined in a joint enterprise with the MBI Group production facility in Kampen.

Due to this joint enterprise, one of the largest manufacturers of concrete paving in the Benelux has been created, with the widest range on the garden and infrastructure markets.

The joint venture became a fact as of 1 August 2011.

Holcim Ltd is a leading company in the cement industry. The group has a presence in more than 70 countries and provides employment for 85,000 people. Their core business consists in the production and distribution of cement and granulates, concrete mortar and asphalt. In addition, Holcim Ltd also provides other, related services.

MBI is a family firm and is active in the production and sale of stone for the infrastructure, garden and building markets. The Van der Meijden family have been shareholders since 1945. The company is active in the Netherlands, Belgium and Germany.

The extensive process was supervised and coordinated by Corporate partner Cees de Tombe. The (core) team further comprised: Erik Vorst, Bob van Zijl, Herman van Aerts, Casper Doorten (Corporate), Isabelle Balvert (Real Estate) and Jan van Vulpen (Environmental law).
