CMS advises the owners of Royal Agio Cigars on their acquisition of the NTS-Group

CMS has advised the Wintermans family, the owners of the world-wide operating cigar manufacturer Royal Agio Cigars (Agio), on the acquisition of 50% of the shares in the NTS-Group. It is the purchaser’s intention to acquire the remaining shares in NTS-Group over time.

The NTS-Group develops, manufactures and optimizes opto-mechatronic systems, modules and components for international machine builders (OEMs). The company is based in Eindhoven with production facilities in the Netherlands, the Czech Republic, Singapore and China. The NTS-Group employs approximately 1,000 employees and has an annual turnover of more than € 125 million.

Agio’s annual turnover amounts to approximately € 135 million. The company employs over 2,600 employees in Duizel (Netherlands), Westerlo (Belgium), Sri Lanka and the Dominican Republic. The Wintermans family has an extensive track record in machine building through their subsidiary ATD Machinery.

Corporate partner Roman Tarlavski led the team comprising Christian Delgado, Damia van Laarhoven, Martijn van der Bie, Dominique van Voorst tot Voorst, Jacqueline Feld and Suzanne Reintjes (Corporate), Barbara Veldmaat and Fleur Assendelft de Coningh (Employment), Edmon Oude Elferink (Competition) and Rogier de Vrey (IP/IT).
