CMS lawyers advise on the transaction in the environmental protection sector

CMS advised V4C, a private equity fund, on the acquisition of waste management firm Kom-Eko SA, from Royalton Partners.

"For several years, we have been observing a growing interest in assets from the environmental protection industry, which is related to the development of this segment of services in Poland and Central and Eastern Europe" - emphasizes Marek Sawicki, who heads the project team at CMS. "This is a very interesting segment of the M&A market, where the advisor must have not only transaction experience in a given industry, but also strong competencies in the field of sectoral regulations."

In this transaction, the CMS team focused on transactional and financing issues, environmental protection law, public procurement law, as well as tax consultancy.

An interdisciplinary team of CMS lawyers coordinated by Marek Sawicki, partner managing of the transaction team in Warsaw, advised V4C. The team included transaction lawyers Grzegorz Pączek, senior lawyer and advocate, and legal counsel Joanna Białoskórska. Marcin Bejm, partner and advocate, supported by Piotr Gałązka, advised in the area of public procurement law and EU financing, while Agnieszka Skorupińska, counsel, advocate, and Karol Jaworecki, lawyer, handled the environmental regulatory aspects. Jakub Wieczorek, counsel, advocate, and Jakub Przybyłek, a lawyer from the banking and finance team, supported the financing of the transaction. Małgorzata Sajkiewicz, a senior lawyer and advocate from the Warsaw tax practice, was responsible for the tax structuring of the transaction. The CMS team in Luxembourg also provided support in relation to Luxembourg law.
