Karolina Zając is a Polish-qualified attorney-at-law and a Senior Associate in the Banking and Finance Department at CMS.

Karolina specialises in financial transactions, civil law and corporate law.

Karolina has over 6 years of experience in the field of financing transactions, civil law and corporate law. She advises the banks and other financial institutions on domestic and cross-border finance transactions. Her experience includes preparation and negotiation of finance documents, including the loan agreements and security documents. Relevant experience

  • A consortium of three banks: mBank S.A., Santander Bank Polska S.A. and Bank Ochrony Środowiska S.A. on the financing of the construction of the Mennica Legacy Tower – an office complex in Warsaw, with the value of EUR 131m and PLN 28m.
  • mBank S.A. on the financing of portfolio of the photovoltaic power plants. The scope of works included drafting and negotiating the finance documents, as well as supervising fulfilment of the conditions for disbursement. This is one of the first photovoltaic financing at the Polish market.
  • BNP Paribas Bank Polska S.A. / ING Bank Śląski S.A. in respect of EUR 62.5m financing granted to a company belonging to Capital Park group, for refinancing of the development of Royal Wilanów complex in Warsaw.
  • Bank Polska Kasa Opieki S.A. and European Investment Bank – the lenders on financing of mixed-used A-class complex, with the office, commercial and retail area comprising the leasable area of at least 64,100 sq. m. in the city center of Warsaw.
  • Erste Group Bank AG on refinancing of the office building in Kraków. The work on the project included also the due diligence investigation of the property and the borrower.
  • A Polish bank on the financing of the acquisition of shares in the Polish company, opening a new restaurant in Wrocław and refinancing of the existing indebtedness. The amount of facilities exceeds EUR 20m. The project involved the work of the CMS Germany.
  • A Polish bank in connection with drafting and negotiating the finance documents regarding financing for renovation of two pre-war tenement houses at Foksal Street in Warsaw.
  • Polish companies – the borrowers with respect to over EUR 180,000 refinancing of the shopping center in Warsaw by consortium of domestic and foreign banks.
  • Santander Bank Polska S.A. and BNP Paribas Bank Polska S.A. on the corporate multipurpose financing of EUR 65m of the leading producer of wood fibreboards, covering the refinancing of the intra-group loans and financing of the ongoing business activity.
  • A Polish bank in connection with granting the additional multipurpose loan facilities for a food industry company.
