Vladimir specialises in corporate transactions and has advised clients in connection with private and competitive share and asset acquisitions and disposals, joint ventures, corporate restructurings and private placements. His experience covers a wide variety of industry sectors, including oil and gas, mining, power, infrastructure, oilfield services, retail and pharmaceuticals.
Prior to joining CMS, Vladimir has been with a number of other major international law firms in Moscow and London for over 12 years.

Relevant experience

  • INTER RAO UES on ca. US$12 bn consolidation of various Russian power generation and distribution assets, including the US$2.3 bn acquisition of 79.2% shares in OGK-3 from Norilsk Nickel in exchange for new shares issued by INTER RAO UES and an intended acquisition of a power distribution business controlled by a Russian high-net worth individual.
  • Rosneft in respect of its agreement with Petróleos de Venezuela S.A. (PdVSA) to acquire PdVSA’s 50% stake in Ruhr Oel GmbH for USD1.6bn and related joint venture arrangements with BP, the remaining shareholder in ROG.
  • Coalco on a public auction sale of its 20% stake in Metalloinvest to VTB Bank and of a business centre project in Moscow to Hals Development.
  • Sigdo Koppers on US$680 mn acquisition of Magotteaux Group.
  • A foreign sovereign fund as a member of an investors consortium in connection with an acquisition of a Russian sea terminal, related shareholders' and offtake arrangements.
  • A leading international PE house on an intended investment in a major Russian retail chain valued at ca. US$1 bn.

  • Rosneft in respect of its agreement with Petróleos de Venezuela S.A. (PdVSA) to acquire PdVSA’s 50% stake in Ruhr Oel GmbH for USD1.6bn.
  • Rosneft in relation to its Sakhalin I, Sakhalin IV and Sakhalin V projects.
  • Rosneft on farm-in arrangements in relation to an upstream gas project in the UAE and a Lebanese offshore licensing round.
  • Gazprom Neft on a joint venture with Shell for the exploration and development of liquids-rich shales (LRS) in Khanty Mansiysk District (Western Siberia), shareholders’ agreement with respect to Sibir Energy and a JI project.
  • An independent European refiner on an intended acquisition from an IOC of major oil refining, storage and transportation assets located in the UK.
  • An Asian conglomerate on its bid for a major upstream natural gas and LNG project in Eastern Africa.
  • Yamal LNG on its offtake arrangements.

  • Advise a foreign sovereign fund as a member of an investors consortium in connection with an acquisition of a Russian sea terminal, related shareholders' and offtake arrangements.
  • Advise a joint fund of two sovereign wealth funds on the acquisition of a project for construction of a Russia-China border crossing over Amur in the Russian Far East.
  • Consultation of a leading Russian bank on an equity investment in the project for construction of a bridge over Kama and Buy rivers at Kambarka settlement in Udmurtia Republic, Russia.
  • Consultation of a leading Russian bank on an equity investment in the project for construction of new schools in Western Siberia.
  • Support a private Russian investor in connection with two independent power projects (IPPs) in Krasnodar Region.

Rus­sia ad­opts new reg­u­la­tion on gen­er­al meet­ings of share­hold­ers
The Reg­u­la­tion on Gen­er­al Meet­ings of Share­hold­ers* ap­proved by the Rus­si­an Cent­ral Bank on 16 Novem­ber 2018 came in­to force on 25 Janu­ary 2019. The new Reg­u­la­tion im­proves the pro­ced­ure for pre­par­ing, con­ven­ing and hold­ing gen­er­al share­hold­ers meet­ings at.
