Harry Taylor is an associate in the CMS Corporate team. Harry has been practising corporate and commercial law for the past seven years across London and Riyadh, being based in Riyadh since 2021.

Harry has strong experience across corporate structuring and corporate transactional matters, including joint ventures, M&A, incorporations and regulatory compliance.

Key to Harry’s development has been multiple on-market and off-market transactions ensuring compliance with local law and negotiating the documentation to serve the best interests of our clients. Harry is well placed to prepare share purchase agreements, joint venture agreements, shareholder agreements, and the ancillary corporate documents (such as licenses, director service agreements, resolutions, etc.).

Harry also has experience in distribution and franchising arrangements in line with the Commercial Agencies Law and Franchising law (respectively) applicable to the Kingdom.

During his training in London, Harry has gained experience in the media and broadcasting industry with time at ITV plc and Discovery Inc.

Relevant experience

Advised on the joint venture, governance, and incorporation of a leading organisation in the mixed martial arts and entertainment industry with a subsidiary of the Public Investment Fund.
Advised on the incorporation and then subscription necessary for three of the largest companies in the Saudi logistics arena to work together on delivering a new technology in Kingdom.
Advised on multiple incorporations pursuant to the Regional Headquarter Programme.
Advised on various on-market mergers and acquisition in the insurance sector in KSA including preparing due diligence and share purchase agreements.
Successfully incorporated a real estate consulting business with their incorporation into KSA under the professional company license.
Acted on behalf of a listed pharmaceutical company in KSA with multiple acquisitions of unlisted companies/targets.
Completed the establishment of a manufacturing company in KSA with the foreign shareholder holding 75% of the shares whilst the local partner retained 25% of the share.
Incorporating trading companies in the Kingdom with 100% foreign ownership and 75:25 ownership with a local Saudi partner (including managing any exceptions and allowances issued by MISA on a case by case basis).
Advised on the corporate restructuring of a listed medical and pharmaceutical company in KSA.
Advised one of the largest ride hailing companies on their structuring and compliance with the regulations of the Transport General Authority in KSA.
Harry has also advised clients with their queries concerning cryptocurrency and compliance with the regulations of the Saudi Central Bank.
