Rainer Wachter is an attorney-at-law for corporate law/M&A and compliance. He is an experienced expert on cross-border M&A transactions and compliance issues. At CMS Reich-Rohrwig Hainz, Rainer Wachter is Co-Head of Corporate Transactions and Head of Compliance and Forensic Services. He is admitted to the bar in Austria, New York and England & Wales.

He spent eight years as a lawyer abroad (New York, London, Frankfurt) and 20 years as Managing Partner of the Vienna office of Skadden, Arps, Slate, Meagher & Flom, one of the largest and most successful US law firms.

  • Advising an Irish corporation on the purchase of an Austrian industrial group with subsidiaries in eight CEE countries.
  • Advising FIMBAG Finanzmarktbeteiligung Aktiengesellschaft des Bundes (Financial Market Holding Company of the Republic of Austria) on the sale of Hypo Group Alpe Adria (SEE network of Hypo Alpe Adria). The buyer was a   consortium consisting of the US fund Advent International and the European Bank for Reconstruction and Development (EBRD).
  • Advising, as financial advisor to the executive board of a Russian bank, a financial services provider on the takeover of an Austrian bank.
  • Advising a shopping centre developer (Israel) and a financial services firm (US/UK) on their EUR 800 m investment in an Austrian real estate holding company.
  • Advising Siemens AG (Germany) on the planned takeover of a company listed on the Vienna Stock Exchange.
  • Advising an international card issuer regarding the sale of their global banking business to an international banking group (volume: USD 1.1 billion), including the sale (and pre-sale restructuring) of the Austrian branch of the card issuer, which accounted for a major part of the transaction.
  • Advising the private equity branch of an international bank on the acquisition of a German/Austrian industrial group.

Specialisation in compliance

Rainer Wachter is an attorney-at-law for compliance and forensic services and a leading expert in corporate law/M&A. At CMS Reich-Rohrwig Hainz, he heads this division and has gained international experience over many years. In particular, he has extensive experience with internal investigations (forensic investigations) and was involved in the first major investigation by the US Department of Justice (DOJ) into allegations of corruption (Daimler AG).

An important part of his consulting activities in the area of compliance is the introduction and implementation of compliance management systems, as well as managing crisis situations.

Industries

Rainer Wachter has extensive experience in designing compliance management systems, with a special focus on the requirements of public financial institutions such as the World Bank, EIB or EBRD.

Due to his international activities in the USA and England, he also has experience with international corruption laws such as the Foreign Corrupt Practices Act of the USA (FCPA) and the UK Bribery Act.
