CMS Belgium assisted Delhaize Group on the Belgian legal aspects of all operational and real estate matters of its cross-border merger with Koninklijke Ahold N.V.

CMS Belgium successfully assisted Delhaize Group on all Belgian legal aspects relating to the preparation of the operational implementation of its cross-border merger with Koninklijke Ahold N.V.. The assistance provided included, amongst others, the legal support required for Delhaize Group to be able to smoothly operate in combination with Koninklijke Ahold N.V. after the closing of the merger, in order for Delhaize Group to effectively transfer all of its operational permits or registrations, as well as in connection with the transfer of Delhaize Group’s real estate properties.

On 23 July 2016, Delhaize and Ahold announced to have successfully completed the cross-border merger through which the combined entity Koninklijke Ahold Delhaize N.V has been created. Koninklijke Ahold Delhaize N.V. will consist out of about 6.500 stores and will have approximately 375.000 employees.

The CMS team responsible for the deal was led by Stéphane Collin, partner (with the support of Vincent Dirckx, partner). The team further comprised Philippe Hendrickx, Magali Comans, Thomas Sion, Ivan-Serge Brouhns and Bruno Fonteyn.
