Sebastián has been part of the  Corporate/M&A Group at CMS Carey & Allende since 2017. His experience includes advising on mergers and acquisitions, capital markets and projects, particularly in the areas of energy, infrastructure and natural resources. He has also provided advisory services to public companies in the issue, registration and placement of securities, and in the development and implementation of corporate governance practices. 

Prior to joining CMS Carey & Allende, he worked for Philippi, Prietocarrizosa, Ferrero DU & Uría.

Relevant experience

  • Verano Capital on the sale and financing of a 130 MW portfolio which is comprised of 25 photovoltaic projects in Chile. The transaction includes a share purchase agreement which also includes framework regulation for the development of the mentioned portfolio, EPC agreements, and O&M agreements for each project.
  • Pacific Hydro Chile S.A.  on the acquisition of two photovoltaic projects from Sociedad Agrícola Río Escondido Limitada. These projects, with a total capacity of 180 MWp, are currently under development in Atacama, northern Chile.
  • Nueva Inversiones Pacífico Sur Ltda (IPS)  on an agreement for the purchase of 65% of Sun Dreams’ shares, for USD 210 million.  Sun Dreams is owned by Sun International.  Once the transaction is completed – subject to the conditions that are usual for this kind of operation – IPS will be the sole proprietor of the shares.  Furthermore, our client is to pay a variable amount subject to certain revenue projections, in the case that currently valid gaming licenses are renewed.
  • Promigas  on the potential tender process to acquire the assets of GasValpo, one of the leading gas distribution companies in Chile. 
  • Charles Taylor Adjusting on the acquisition of FGR group, a loss adjusting and claims programme management group. The acquisition positions Charles Taylor as one of the leading international claims programme management and loss adjusting firms in Latin America.  
  • Inversiones Valmar Limitada y Madesal S.A. on acquisition of 51% of Masvida´s clinics and health market related assets throughout the country. 
    Empresas AquaChile S.A. on the registration and public placement of new shares of the company both in Chile and abroad.
  • Empresas AquaChile S.A.  on a joint venture with Benchmark for the breeding and genetics of salmon eggs and smolts.
  • Participation on the team that advised Empresa Nacional del Petróleo on the acquisition by Borealis Infrastructure of a 36.6% stake in the LNG regasification company GNL Quintero and the corporate reorganisation of the same company.
