Asian Bamboo achieves EUR 95 million opening price - CMS Hasche Sigle advises Chinese bamboo provider on IPO

16/11/2007

The bamboo plantation operator, Asian Bamboo, traded today for the first time in the Prime Standard of the Frankfurt Stock Exchange. The share which was oversubscribed 15-fold lay at EUR 17 at the upper end of the price margin. The gross issuing total amounts to approx. EUR 95 million with the green shoe option being fully used. Most of the 5.6 million shares on offer are from a capital increase. Only around 100,000 and the green shoe were provided by several old shareholders. Around 44% is in broadly based share ownership.

An experienced team of lawyers from CMS Hasche Sigle operating in close cooperation with the CMS office in Shanghai acted as issuer's counsel, providing Asian Bamboo with comprehensive advice on the IPO. The team drafted the prospectus in English and handled the BaFin clearance procedure. In addition CMS Hasche Sigle's Shanghai office performed the legal due diligence required for a capital market transaction. CMS Hasche Sigle also advised the issuer on conclusion of the assumption agreement with the consortium banks and on the legal restructuring including formation of Asian Bamboo AG.
Sal. Oppenheim and the Bank of China assisted Asian Bamboo as consortium banks.

Asian Bamboo produces bamboo as a raw material for the food, furniture, paper and construction industry. The company has more than 300 employees and increased its turnover last year by approx. 68 percent. Continued growth rates are expected as demand increases for bamboo sprouts which are suitable for consumption. The issue proceeds are for long-term leases of further bamboo forests in China. Additionally processing of bamboo sprouts and stems is to be expanded. Asian Bamboo is also planning to construct its own factory for bamboo floor coverings.

After ZhongDe Waste Technology and Asian Bamboo, the chip card provider Vtion Wireless is also preparing its IPO in Frankfurt before the end of the year. Vtion is one of the leading manufacturers of chip cards for mobile internet access. This Chinese company will also be advised by CMS Hasche Sigle. The firm will therefore have assisted three out of four Chinese IPOs this year. Further IPOs of Chinese companies are planned for 2008.
