Munich – As part of an extensive restructuring exercise, Alkor-Venilia GmbH has merged six out of its total of nine foreign subsidiaries with the parent. The countries involved are France, Italy, Spain, Austria and Belgium.
A team from CMS Hasche Sigle led by lead partner Richard Mitterhuber advised Alkor-Venilia GmbH on all corporate, tax and employment law aspects of the cross-border mergers. The team also handled coordination of all the mergers across Europe.
In addition to CMS Hasche Sigle, teams from CMS firms CMS Bureau Francis Lefebvre (France), CMS Albiñana & Suárez de Lezo (Spain), CMS Reich-Rohrwig Hainz (Austria), CMS Adonnino Ascoli & Cavasola Scamoni (Italy) and CMS DeBacker (Belgium) advised on their respective national law.
These mergers are an initial step towards optimising the group's financial structure and boosting profitability in relation to production, logistics, storage, sales and marketing. There are also plans to merge the Dutch subsidiary with Alkor-Venilia GmbH in the near future.
The Alkor-Venilia Group is the market leader in Europe for self-adhesive foils and easy-care tablecloths. The group employs around 700 people at three production sites and eight sales branches in various European countries. Alkor-Venilia also works with distributors in more than 80 countries.
