CMS advises Chart Industries on acquisition of Howden for USD 4.4 bn

Stuttgart – CMS, led by M&A partner Dr Tobias Grau, advised Chart Industries, Inc. (NYSE: GTLS) (“Chart”) on the completed acquisition of Howden, a leading global provider of mission critical air and gas handling products and services, from affiliates of KPS Capital Partners, LP. The purchase price of approximately $4.4 billion, before customary purchase price adjustment, was paid in cash and funded through a combination of cash on hand and the proceeds from a tranche of term loans that closed concurrently with the acquisition. 

CMS advised Chart on various projects in Germany in the past. Chart is a leading global manufacturer of highly engineered equipment servicing multiple applications in the clean energy and industry gas markets. Its unique product portfolio is used in every phase of the liquid gas supply chain, including upfront engineering, servicing and preparation.
