CMS advises Chart Industries on divestiture of its oxygen-related products business

Stuttgart – Chart Industries, Inc., a US-based listed manufacturer of cryogenic equipment, has signed a definitive agreement to divest its oxygen-related products business to Japanese supplier NGK Spark Plug Co., LTD. for USD 133.5 million. The sale is expected to close within the fourth quarter of 2018, following the satisfaction of customary closing conditions, including regulatory requirements.

A CMS team headed by lead partner Dr Tobias Grau supported Chart Industries on all legal aspects of the German part of this international deal. 

Chart is a leading diversified global manufacturer of highly engineered equipment for the industrial gas, energy, and biomedical industries. The majority of Chart's products are used throughout the liquid gas supply chain for purification, liquefaction, distribution, storage and end-use applications, a large portion of which are energy-related. Chart has domestic operations located across the United States and an international presence in Asia, Australia, Europe and Latin America. 

NGK, based in Nagoya, Japan and also listed, is one of the world's leading suppliers of spark plugs and related products for combustion engines and technical ceramics.
